CONSTITUTION OF THE YOUNG REPUBLICAN FEDERATION OF ALABAMA
Article I Name The name of the organization shall be "Young Republican Federation of Alabama."
Article II Powers
The powers of the Federation shall be: To direct, manage, supervise and control its business, property, and funds and to do all other things necessary or convenient to carry out its objectives. To create, charter, supervise and coordinate groups of Young Republicans throughout the state of Alabama.
Article III Objects
The objects of the Federation are: To develop a statewide, intelligent, aggressive, and serviceable Young Republican organization. To provide a practical means by which the Young Republicans throughout Alabama may effectively contribute to the betterment of the Republican Party, the State of Alabama, and the United States of America. To support the principles, objects and platform of the Republican Party and to secure the election of all duly nominated Republican candidates. Neither this federation nor any of its member clubs shall participate in any intra-party differences nor shall any of them, as an organization, seek to influence the nomination of any candidate.
Article IV Membership
Members of this organization shall be resident citizens of Alabama eighteen years of age or older who are members of a Young Republican Club in Alabama chartered under Article V of this constitution.
Article V Officers
Section 1. The officers of the Federation shall be Chairman, Administration Senior Vice-Chairman, eight Organizational 7 Regional Vice-Chairman, Secretary, Assistant Secretary, Treasurer, National Committeeman, and National Committeewoman and shall be elected at the Convention of the Young Republican Federation of Alabama. Terms will last 2 years.
Section 2. Every officer will be a member in good standing of a chartered Young Republican club, and shall continue as such throughout his term. The age limit for state officers shall be eighteen to forty years, inclusive.
Section 3. The Chairman shall have the power to appoint an Executive Secretary Director to serve at his pleasure, but the Executive Secretary Director so selected by the Chairman shall be subject to confirmation by the Executive Committee at its next meeting following such appointment. The Executive Secretary Director shall be an Ex-officio member of the Executive Committee.
Section 4. The Chairman shall, subject to the approval of the Executive Committee, appoint a General Counsel who shall be an Ex-officio member of the Executive Committee and will serve as Parliamentarian thereupon become a voting member of the Executive Committee. The Chairman shall have the power, subject to the Executive Committee, to employ and fix the salary of such employees as in the Chairman’s judgment may be necessary.
Section 5. The Chairman shall, shall to the approval of the Executive Committee, have the power to appoint a Finance Chairman who shall thereupon become a voting member of the Executive Committee.
Section 6. The Chairman shall, shall to the approval of the Executive Committee, have the power to appoint an Events Coordinator who shall thereupon become a voting member of the Executive Committee.
Section 7. The Chairman shall, shall to the approval of the Executive Committee, have the power to appoint a Webmaster who shall thereupon become a non-voting member of the Executive Committee.
Section 7 8. Except as otherwise provided in this Constitution the officers of the Federation shall have such powers and duties as prescribed in the By-Laws.
Article VII Powers and Duties of Officers
Section 1. The Chairman shall preside at all of the Conventions and at all meetings of the Young Republican State Committee and Executive Committee. He shall be the chief executive officer of the Federation and shall exercise general supervision over the work and the activities of the Federation. He shall perform such other or further duties as prescribed in the By-Laws.
Section 2. The Senior Vice-Chairman of Administration shall act as an assistant to the Chairman and shall perform such other duties as may be prescribed in the By-Laws. In the temporary absence or inability of the Chairman to act, his powers and duties shall be performed by the Senior Vice-Chairman of Administration.
Section 3. The eight 7 Regional Vice-Chairmen shall oversee the clubs and club growth in their respective Congressional district of Organization shall act as assistants to the Chairman and shall perform such other duties as may be prescribed in the By-Laws.
Section 4. In the temporary absence or inability of the Chairman and Senior Vice-Chairman of Administration to act, their powers and duties shall be performed by the Regional Vice-Chairman of Organization chosen by the Executive Committee.
Section 5. The Secretary shall be the recording and corresponding officer of the Federation and shall perform such other duties as may be prescribed in the By-Laws.
Section 6. The Treasurer shall receive, expend and account for the funds of the Federation under the supervision and discretion of the Executive Committee and shall perform such other duties as may be prescribed in the By-Laws.
Article VIII Executive Committee
Section 1. The Executive Committee of the Federation shall be composed of the elected officers of the Federation, the General Counsel, the Finance Chairman, the Events Coordinator and the Immediate Past-Chairman.
Section 2. Except when the Young Republican State Committee is in session, the Executive Committee shall have control and management of the affairs, properties, and funds of the Federation.
Section 3. Any action of the Executive Committee may be appealed to the Young Republican State Committee, provided that written notice of appeal shall have been sent by a chartered Young Republican club by registered mail or electronic mail to the Secretary at least thirty fifteen days prior to the next meeting of the Young Republican State Committee. Upon receiving such notification, the Secretary shall mail (via e-mail or postal mail) notice to the members of the Young Republican State Committee of such appeal at least twenty five days before the Young Republican State Committee meeting at which such appeal is to be considered.
Article IX Young Republican State Committee
Section 1. The Young Republican State Committee shall be composed of the members of the Executive Committee, each club chairman, and the Young Republican State Committeeman and the Young Republican State Committeewoman of each of the Young Republican Clubs.
Section 2. Each club chairman, the Young Republican State Committeeman and the Young Republican State Committeewoman shall be the official representatives of each club.
Section 3. The Young Republican State Committee shall meet at such times and places as prescribed in the By-Laws.
Section 4. The Young Republican State Committee shall be the policy-making body of the Federation and shall have all powers of the Federation in all matters except that it shall not have the power to change or vary any action or decision of a Convention of the Federation.
Section 5. Any action of the Young Republican State Committee may be appealed to the next Convention of the Federation, provided that written notice of such appeal shall have been mailed (via postal or electronic) to the Secretary at least thirty days prior to such Convention. Upon receiving such notification, the Secretary shall mail (postal or electronic) notices to the Chairman or Secretary of each Young Republican club Young Republican State Committee at least twenty fifteen days prior to the Convention at which such appeal is to be considered.
Section 6. State Committeemen and State Committeewomen shall be chosen in the manner for the term specified by their respective clubs.
Article X Conventions
Section 1. Conventions of the Federation shall be held at least every two years during the period beginning April 20 April 1 and ending May 31, but in no event later than twenty-three days prior to the Convention of the Young Republican National Federation, in the odd-numbered years beginning May 1959, at a time and place fixed by said Young Republican State Committee.
Section 2. The Young Republican clubs in good standing shall be entitled to delegates equal in number to one for each five members between the ages of eighteen and forty, inclusive, or major fraction thereof.
Section 3. Young Republican clubs in good standing and membership shall be determined as prescribed in the By-Laws.
Section 4. Each Young Republican club may provide in its Constitution and By-Laws for the method of selecting its delegates to the conventions of the Federation. In the absence of such a provision, the Board of Directors or corresponding body of the group shall fix the method of selection.
Section 5. All members of the State Executive Committee shall be delegates at-large to the Young Republican State Convention.
Section 6. In all conventions of the Federation, each accredited delegate shall be entitled to cast at least one vote and such additional votes or fractions thereof as may be prescribed in the By-Laws.
Article XI Revenues
Revenues may be raised as provided in the By-Laws.
Article XII Tenure of Office
Section 1. Officers of the Federation shall be elected at each constituted biennial convention of the Federation and shall hold office until the adjournment of the convention at which their successors are elected.
Section 2. A majority of all the votes cast shall be necessary for the election of each officer. In the event that any ballot cast does not show a majority for any nominee for any office, there shall be a further ballot. Prior to the second ballot, the nominee having the lowest votes shall be dropped from the second ballot and the same procedure shall be followed until some nominee shall have received a majority of all votes cast.
Section 3. Any officer of the Federation may submit a written resignation to the Secretary of the Federation and such resignation shall become effective at the expiration of thirty days unless sooner accepted by a majority of the Executive Committee.
Section 4. Vacancies in the elective officers shall be filled by the State Committee for the unexpired term of the office vacated.
Section 5. Elected officers of the Federation may be removed for causes and in the manner provided for in the By-Laws by a two-thirds vote of the State Committee of the Federation.
Article XIII By-Laws and Amendments to the By-Laws
By-Laws not inconsistent with this Constitution and embodying additional provisions for the government of the Federation shall be adopted and may be amended from time to time at any meeting of the State Committee of the Federation provided, however, that notice of the proposed amendments shall be sent by the Secretary or the Chairman to the members of the State Committee at least fourteen days prior to the date of such meeting in which the proposed amendment is to be discussed and voted upon.
Article XIV Amendments to the Constitution
Section 1. This Constitution, or any provision thereof, may be amended by a two-thirds vote of the delegates present or represented by duly qualified alternates at any regularly called convention of the Federation.
Section 2. Proposed amendments shall be sent so as to be received by the Secretary at least thirty days prior to the date of the convention. The Secretary shall thereupon send written notice of said proposed amendments to all members of the Executive Committee and to all Young Republican clubs not less than twenty days prior to the convention.
Article XV Effective Date
The portions of this constitution creating and abolishing offices shall take effect immediately upon its adoption and the remaining provisions shall go into effect immediately upon the adjournment of the convention of the Federation held in Tuscaloosa, Alabama on May 2, 1969. This Constitution shall supercede supersede any constitution that might heretofore have been considered or adopted. BY-LAWS OF THE YOUNG REPUBLICAN FEDERATION OF ALABAMA
Article I Young Republican Clubs
Section 1. The Young Republican Federation of Alabama shall prepare and recommend to each group of Young Republicans a model form of Constitution and By-Laws, which may be adopted by said group in whole or in part.
Section 2. Each Young Republican Club must hold at least one meeting between January 1 and April 1 of each year subsequent to the calendar in which it is chartered. Each club shall hold such other meetings as its Board of Directors or corresponding governing body or its membership may desire.
Section 3. Each Young Republican club shall submit to the Secretary, prior to March 1 of each year, annual reports of the activities of that club, the names and addresses of officers and members, the annual charter fee, annual dues, and such information as may be required by the Executive Committee.
Section 4. Any Young Republican club that shall fail to submit to the Secretary, prior to March 1 of each year, the information required by Section 3 above, and any other information required by the Executive Committee or the State Committee to be due in or with the annual reports, shall be penalized by having their delegate number reduced by twenty (20) percent of the original delegate number for each two week period that the club fails to provide the required information. It is the responsibility of the club to select a method of delivery that places the information in the hands of the Secretary prior to March 1; consequently, it is no excuse that the information was lost in the mail or otherwise misdirected or delayed.
Section 5. Each Young Republican club should have a website within 90 days of their official charter.
Article II Chartering Young Republican Clubs
Section 1. Groups of Young Republicans may be chartered in any county/city/region of the State of Alabama. There shall be no limit to the number of Young Republican clubs per county.
Section 2. Application for charter shall be made on a standard petition form, as adopted by the Executive Committee, which petition shall be duly signed by at least ten (10)Young Republicans. The petition shall be submitted to the State Committee, which may grant a charter to the petitioning group upon payment of dues and the annual charter fee.
Section 3. In its application for charter, the petitioning group of Young Republicans shall certify the following: That it, or its governing body, has adopted its Constitution and By-Laws (attaching copies to the application), and has ratified the Constitution and By-Laws of the Young Republican Federation of Alabama; That it has elected officers, appointed its committees, and completed its organization, attaching names and addresses of said officers, including its committeeman and committeewoman to the application; That it has held at least one meeting as an organized body.
Section 4. In its application, and for the purposes of determining the number of delegates at conventions, a club may count as members persons who are also members of another chartered Young Republican club provided that such dual members do not constitute more than ten percent of its membership. In the event a club has more than ten percent, the excess is not counted for delegates or dues. If a conflict arises as to which club is entitled to claim a person as a member, and the member’s preference is not known or made known by that member, the club that submits its information first shall be entitled to claim said dual members for delegate and dues purposes.
Article III Suspension and Cancellation of Charters
Section 1. Any Young Republican club which fails to conform to the Constitution and By-Laws of the Young Republican Federation of Alabama may have its charter and membership herein suspended or revoked, or may otherwise be disciplined by a two-thirds vote of the State Committee. However, before any such disciplinary action may be taken under this section, a hearing shall be held at a place where the group is chaired by either the Chairman or Vice Chairman, that a copy of the charges with a notice of hearing thereon, shall have been sent by certified mail by the Secretary to the last reported Chairman of said group of Young Republicans at least thirty days before said hearing. Further, the report shall be furnished to the members of the group appearing at the hearing at least ten days prior to its presentation to the State Committee.
Section 2. Any Young Republican club may resign from the Young Republican Federation of Alabama by resolution of resignation adopted and approved by three-fourths of the members of said group, and certified by the Chairman and Secretary of said group. Such resignation adopted shall become effective when accepted by the State Committee. The State Committee may reinstate said group upon its written application.
Section 3. If the State Committee shall suspend or revoke the charter of, or otherwise discipline any Young Republican club, or it shall accept a club’s resignation from the Young Republican Federation of Alabama the Secretary shall immediately send notice (via postal or electronic mail) of such action to the last reported chairman of said group, and either he or any member of such club may appeal such action of the State Committee in the manner provided in Section 5 of Article IX of the Constitution of the Young Republican Federation of Alabama.
Section 4. Any group of Young Republicans which shall for any reason cease to be a chartered group of the Young Republican Federation of Alabama shall surrender its charter and shall not thereafter use the name, emblem, or insignia of the Young Republican Federation of Alabama in any manner.
Article IV Jurisdiction
Section 1. The jurisdiction of the Young Republican Federation of Alabama shall be within the State of Alabama.
Article V Duties of Officers
Section 1. The Chairman shall perform such duties as are prescribed in the Constitution and such other and further duties as usually pertain to the office of Chairman. The Chairman shall receive re-imbursement not to exceed five hundred dollars ($500) for each convening of the National Committee to cover transportation and lodging expenses.
Section 2. The Senior Vice-Chairman shall perform such duties as are prescribed in the Constitution. He shall act to coordinate the work of the chairman of the standing committees and to promote active and functioning committees. He shall also perform such other duties as may be assigned by the Chairman or the Executive Committee. He may appoint such assistant or assistants to assist him in his office and such assistant or assistants shall hold office at the pleasure of the Senior Vice-Chairman.
Section 3. The Regional Vice-Chairmen shall perform such duties as are prescribed in the Constitution. They shall direct, under the supervision of the Chairman, the organization of the Young Republican clubs over the state, and shall help to coordinate the activities of the clubs. Each Regional Vice-Chairman shall perform his duties within the geographical areas by Congressional district. Each Regional Vice-Chairman may appoint an organizational steering committee to assist him in his duties and each member of his committee shall hold office at the pleasure of the Regional Vice-Chairmen appointing him.
Section 4. The Secretary shall perform such duties as are prescribed in the Constitution. He shall attend all meetings of the Executive Committee and the State Committee and all Conventions of the membership of the Young Republican Federation of Alabama, and shall act as secretary thereof. He shall sign all documents issued by the Young Republican Federation of Alabama wherein his signature is required.
Section 5. The Treasurer shall deposit all such sum as may be required by the Executive Committee, the cost of such bond to be borne by the Young Republican monies of the Federation in such bank or banks as shall have been designated by the Executive Committee. He shall make an annual financial report to the State Committee. He shall give such bond for the faithful discharge of his duties in Federation of Alabama. He shall be a member of the Finance Committee.
Section 6. The National Committeeman and the National Committeewoman shall be the official representatives of the Young Republican Federation of Alabama at all meetings of the National Committee and shall keep the Federation informed of all action by the National Federation. They shall keep the Federation informed and shall perform such other duties as may be assigned by the Chairman or the Executive Committee. The National Committeeman and the National Committeewoman shall receive re-imbursement not to exceed five undred dollars ($500) for each convening of the National Committee to cover transportation and lodging expenses.
Article VI Executive Committee
Section 1. The Executive Committee shall have such powers as prescribed in the Constitution, and shall exercise control and supervision over all officers and committees of the Young Republican Federation of Alabama except the State Committee.
Section 2. The Executive Committee may, without meeting together, transact business by mail (via postal or electronic), by voting on questions submitted to them by or with the approval of the Chairman. Fourteen days shall be allowed for the return of the votes thereon by mail to the Secretary or Chairman. The voting shall be considered closed at the end of fourteen days, provided that a majority of the members of the Committee have returned their votes at that time, or it shall be considered closed at any time prior thereto if, and when all members have returned their votes. If, at the expiration of fourteen days, the majority of the Executive Committee shall have not returned their votes, the measure being voted upon shall be deemed to have failed. The Chairman of the Committee or the Secretary must preserve all such votes until the next meeting of the Executive Committee, at which meeting the Executive Committee shall order the disposition of such votes. In cases where a hearing is required by the Constitution or By-Laws, voting by mail shall not be permitted.
Section 3. The Executive Committee shall have monthly teleconference calls at such time as may be determined by action of the Committee, by call of the Chairman.
Section 4. At all meetings of the Executive Committee five of the members thereof shall consist of a quorum for the transaction of business, except in cases of where a larger vote is required by the Constitution or By-Laws.
Section 5. In those cases where the Constitution or By-Laws provide that the Executive Committee shall appoint any officer or employee, or fill any vacancy in an elective office for the unexpired term of that office, duties or powers of any officer or employee, the Executive Committee shall be deemed to have exercised such powers and duties if it shall approve any action of the Chairman making such appointment, duties, or powers, or filling any such vacancy, and the Executive Committee shall make such approval retroactive.
Section 6. The Secretary shall, within thirty days after each meeting of the Executive Committee, mail a copy of the minutes of each meeting to all members of the Executive Committee and to the Chairman of each Young Republican Club which is directly referred to in such minutes and affected by some action taken at such meeting.
Section 7. The Executive Director, Standing Committee Chairman, and Young Republican National Federation elected officers residing in Alabama shall be ex-officio members of the Executive Committee.
Article VII State Committee
Section 1. The State Committee shall have such powers as are prescribed in the Constitution. It may, for good cause and after hearing, remove any elected officers of the Federation by a three-fourths vote of the entire State Committee, provided that such officer shall have been sent a notice by the Secretary by mail, said notice containing the copy of the charges filed against him at least thirty days prior to the hearing thereon, said notices specifying a place and time of said meeting.
Section 2. The State Committee shall meet bi-annually each year at the call of the Chairman. The Chairman shall issue the call of such meetings by written notice of the time and place to all members of the State Committee, mailed at least fourteen days prior to such meeting. If the name and address of any member of the State Committee is not known, notices shall be sufficiently given if mailed to the member, by title in care of the last known chairman of the Young Republican club which such member represents. Other meetings of the State Committee may be called by the Chairman or by four members of the Executive Committee.
Section 3. At all meetings of the State Committee forty percent of the members thereof shall constitute a quorum for the transaction of business, except in cases where a larger vote is required under the Constitution and By-Laws.
Section 4. In those cases in which the Constitution or By-Laws provide that the State Committee shall appoint any officer or employee of the Federation, duties or powers of any officer or employee or fill any office for the unexpired term thereof, the State Committee shall be deemed to have exercised such powers and duties if it shall approve any action of the Chairman making such appointments, fixing such compensation, duties, or powers, and filling any such vacancy, and the State Committee shall make such approval retroactive.
Article VIII Conventions
Section 1. Conventions of the Young Republican Federation of Alabama shall be held at the call of the State Committees and must be held at least every two (2) years.
Section 2. The Secretary shall mail a notice (via postal or electronic) of the time and place of any convention to the chairman or secretary of each Young Republican club at least forty (40) days prior to the date of any convention.
Section 3. The Executive Committee shall have the supervision and management of all conventions of the Young Republican Federation of Alabama and shall fix the official program and order of business.
Section 4. The officers of each convention shall be the officers of the Young Republican Federation of Alabama.
Section 5. At each duly called convention, or prior thereto, the Chairman shall appoint a Sergeant-At-Arms of the convention and such assistants as he may deem necessary or advisable.
Section 6. Prior to each duly called convention, or prior thereto, the Chairman shall appoint a Committee on Constitution and By-Laws, a Committee on Credentials, a Committee on Resolutions, a Committee on Certifying and Nominating and other committees as he shall deem necessary or advisable.
Section 7. The Secretary of the Federation shall certify the membership rosters of each Young Republican club and shall duly inform the chairman of each club such certification no later than March 15 of each year.
Section 8. At least seven (7) days prior to each convention, each Young Republican club shall select delegates as provided in the Constitution. Alternates may be selected either for specific delegates or at-large within a delegation, but an alternate shall not be entitled to vote except in the absence of a delegate for whom he is an alternate. The chairman or secretary of each club shall certify the delegates and alternates selected and submit such certification to the Credentials Committee at least five (5) days prior to the convention.
Section 9. In all voting a majority of the persons present and entitled to vote shall rule, unless otherwise provided for in the Constitution or By-Laws.
Section 10. For voting any question, each person entitled to vote shall be entitled to one (1) vote.
Article IX Election of Delegates to the National Convention
Section 1. The Chairman, The National Committeeman, National Committeewoman, and any candidate for National Young Republican office residing in Alabama and endorsed by the Young Republican Federation of Alabama shall be automatically delegates to the Young Republican National Convention. The balance of delegates and alternates have to be selected by the Young Republican Federation of Alabama Convention.
Section 2. The number of delegates and alternates elected shall be in accordance with the Constitution and By-Laws of the Young Republican National Federation.
Section 3. The delegates to the Young Republican National Convention shall be under unit rule as determined by the majority vote of the delegates to the National Convention. In the event of the absence of a delegate, his vote shall be cast by his duly elected alternate.
Article X Vacancies
Section 1. In the event of a vacancy in any elected office of the Young Republican Federation of Alabama the State Committee shall elect a qualified member of a Young Republican club to fill such office for the unexpired term. In the event of a vacancy in a non-elective position in the Executive Committee, the Executive Committee shall elect a qualified member of a Young Republican club to fill such office for the unexpired term.
Section 2. Any officer who incurs a total of two concurrent unexcused absences from either the Executive Committee or the State Committee or both meetings of the Executive Committee or of the State Committee shall be deemed to have vacated the office and said office shall be filled pursuant to Section 1. An excuse must be submitted to the committee that the officer was absent from in writing (via postal or electronic mail) and approved by that committee at its next meeting in order to count as an excused absence.
Article XI Terms of Appointive Positions
Section 1. The terms of the General Counsel, Executive Director, and Standing Committee Chairmen shall expire at the adjournment of the first biennial Convention of the Federation following such appointment, or upon the selection of a successor to their appointive positions, whichever occurs first.
Article XII Committees
Section 1. The Standing Committees shall be: Finance, Publicity, By-laws, Club Development, and Special Events.
Section 2. The chairman of each standing committee shall be appointed by the Executive Committee. The members of each committee shall be appointed by its chairman and shall serve at such chairman’s pleasure.
Article XIII Revenues
Section 1. An annual charter fee in the amount of one hundred ($100.00) shall be remitted to the Treasurer of the State Federation by each Young Republican club. This fee will include the first twenty (20) members of the club.
Section 2. Annual dues shall be remitted to the Treasurer of the State Federation by each Young Republican club in the amount of one dollar ($1.00) per member above the first 20 members of each club.
Section 3. The charter fees and dues shall be paid by the first day of March of each calendar year subsequent to the calendar year in which the club is chartered.
Section 4. In determining the membership of a club for the purpose of delegate strength at any convention of the Federation, the number of members for which dues were received by the Treasurer from a club during the year in which said convention is held shall be added to the number of members for which dues were received in the preceding year, and the total of such club’s members so computed shall be divided by two in order to reach membership for purposes of delegate strength.
Section 5. Revenues may be sought from any other source approved by the Executive Committee.
Article XIV Finances and Accounting
Section 1. Each fiscal term of the Young Republican Federation of Alabama shall be for a period of two years and shall begin on the first day following the adjournment of the biennial convention.
Section 2. The Executive Committee shall cause an efficient system of accounts to be installed and maintained.
Section 3. The Executive Committee shall adopt a budget, making appropriations therein for each fiscal term. Each budget shall specify the purpose and the amount of each appropriation and include a statement of estimated revenues.
Section 4. All disbursements shall be made solely by check.
Section 5. The Executive Committee shall designate the depository of all funds of the Young Republican Federation of Alabama.
Section 6. The Executive Committee shall have the power to appoint such officers and employees as it may deem advisable to deposit and withdraw funds from said depository.
Article XV Parliamentary Authority
Section 1. Robert’s Rules of Order shall be the parliamentary authority for all matters of procedures not specifically covered by the Constitution and By-Laws of the Young Republican Federation Of Alabama.
